This position will provide legal assistance to the General Counsel and Assistant Corporate Counsel. Responsibilities will include organizing and administering contractual documents with vendors, customers and/or partners, while working with company employees, managers, executives, finance/purchasing department as well as the legal department to structure contracts.

Essential Duties & Responsibilities
• Support the company with drafting and reviewing a broad range of commercial contracts, including every type of agreement affecting the company
(example: software and other technology related license and cross-licensing agreements, marketing services agreements, vendor/supplier agreements, NDAs/Confidentiality agreements, etc.).
• Develop and maintain filing system with assistance from the Executive Assistant.
• Oversees management of contractual documents that establish business relationships with vendors, customers and/or partners.
• Assist in preparing, revising, proofreading, redlining and finalizing corporate and transactional documents.
• Reviews and approves documents for protection of the company's contractual posture and adherence to company policy.
• Advises management of contractual rights and obligations and assists the legal department on interoperating the terms and conditions.

Education and/or Experience
• Bachelor’s Degree required.
• Paralegal Certificate required, accreditation from a ABA Institution preferred.
• 3+ years of solid commercial contracts review and drafting experience.
